1. Acceptance of Terms
By downloading, installing, accessing, or using PANote ("the Application", "the App", "the Service"), you ("User", "You") agree to be bound by these Terms of Service ("Terms", "Agreement"). If you do not agree to all terms and conditions of this Agreement, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and PANote LLC ("Company", "We", "Us", "Our") regarding your access to and use of the Application, including all related services, features, content, and applications offered by Company.
By accepting these Terms, you represent that you are at least 18 years of age or have reached the age of majority in your jurisdiction.
2. Description of Service
PANote is a comprehensive mobile and web-based note-taking application that provides intelligent writing assistance, seamless integration with third-party services, and advanced organizational capabilities. The Service includes but is not limited to:
- Local and cloud-based note creation, editing, storage, and management
- Artificial Intelligence-powered writing assistance, content generation, and editing suggestions
- Integration with Notion workspace and other third-party productivity platforms
- Cross-platform synchronization across mobile, tablet, and web platforms
- Rich text formatting, multimedia support, and advanced organizational features
- Collaborative sharing and workspace management capabilities
- Voice-to-text transcription and audio note functionality
- Automated backup and version control systems
- Export and import capabilities for various file formats
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, at our sole discretion.
3. User Accounts and Registration
3.1 Account Creation
PANote offers both anonymous usage and account-based services. While basic note-taking functionality is available without registration, certain features require account creation and authentication.
3.2 Account Requirements
- You must be at least 18 years of age or have reached the age of majority in your jurisdiction to create an account
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must immediately notify us of any unauthorized use of your account
- You are solely responsible for all activities that occur under your account
- One person or legal entity may not maintain more than one account without our express permission
3.3 Account Security
You are responsible for safeguarding the password and maintaining the security of your account. We recommend using strong, unique passwords and enabling two-factor authentication where available. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
3.4 Third-Party Authentication
Integration with third-party services (such as Notion, Google, or Apple accounts) requires compliance with the respective terms of service of those platforms. You grant us permission to access your account information from such third-party services as necessary to provide our integration features.
4. Acceptable Use Policy
4.1 Permitted Uses
You may use PANote for lawful personal, educational, and commercial purposes in accordance with these Terms. You agree to use the Service responsibly and in compliance with all applicable laws and regulations.
4.2 Prohibited Uses
You expressly agree not to:
- Use the Service for any unlawful purpose or to solicit others to engage in unlawful activities
- Upload, store, share, or transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
- Transmit viruses, malware, or any other malicious code that could harm the Service or other users
- Attempt to gain unauthorized access to the Service, other user accounts, or computer systems
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application
- Use automated systems, bots, or scrapers to access or use the Service without permission
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Create accounts through unauthorized means or circumvent any access restrictions
- Use the Service to spam, harass, or send unsolicited communications to other users
- Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
- Violate any applicable local, state, national, or international law or regulation
4.3 Content Standards
All content you upload, create, or share through the Service must comply with applicable laws and these Terms. We reserve the right to remove content that violates these standards without notice and at our sole discretion.
4.4 Enforcement
Violations of this Acceptable Use Policy may result in suspension or termination of your account, removal of content, and/or legal action. We reserve the right to investigate violations and cooperate with law enforcement authorities when appropriate.
5. Artificial Intelligence Terms
5.1 AI-Powered Features
PANote utilizes artificial intelligence technologies, including but not limited to large language models, natural language processing, and machine learning algorithms, to provide writing assistance, content suggestions, grammar correction, and other intelligent features.
5.2 AI Content Processing
- By using AI features, you consent to the processing of your content by AI systems
- AI processing may involve sending your content to third-party AI service providers
- We implement appropriate safeguards to protect your content during AI processing
- You retain ownership of your original content and any derivatives you create
- AI-generated suggestions and content are provided as tools to assist your creative process
5.3 AI Content Accuracy and Limitations
- AI-generated content is provided "as is" without warranties of accuracy, completeness, or reliability
- You are solely responsible for reviewing, verifying, and validating all AI-generated content
- AI systems may produce biased, inappropriate, or factually incorrect content
- We do not guarantee that AI features will meet your specific requirements or expectations
- AI capabilities may vary and improve over time as we update our systems
5.4 User Responsibilities for AI Usage
- Use AI features responsibly and in accordance with ethical standards
- Do not attempt to manipulate AI systems to generate harmful or inappropriate content
- Verify the accuracy of AI-generated content before using it for important purposes
- Respect intellectual property rights when using AI to generate content based on existing works
- Understand that AI-generated content may not be original and could inadvertently infringe on others' rights
5.5 Third-Party AI Services
Our AI features are powered by various third-party AI service providers. Your use of AI features is subject to the terms and policies of these providers in addition to our Terms. We are not responsible for the performance, availability, or policies of third-party AI services.
6. Third-Party Integrations and Services
6.1 Notion Integration
- Integration with Notion is optional and requires your explicit authorization
- You must maintain a valid Notion account and comply with Notion's Terms of Service
- We access only the Notion data necessary to provide integration features
- You can revoke Notion integration access at any time through your account settings
- We are not responsible for Notion's service availability, data policies, or functionality changes
- Any issues with Notion integration may affect the availability of related features
6.2 AI Services Integration
- AI features may utilize various third-party AI service providers and APIs
- Your use of these features is subject to the respective AI providers' Terms of Service and Privacy Policies
- We implement data processing agreements with our AI partners to protect your information
- Third-party AI service availability may impact AI feature functionality
- You may opt out of AI-powered features through your account preferences
6.3 Mobile Platform Integration
- The mobile app integrates with iOS and Android platform services for enhanced functionality
- Platform-specific features are subject to Apple App Store and Google Play Store policies
- Updates may be distributed through official app store channels

6.4 General Third-Party Service Terms
We may integrate with additional third-party services to enhance functionality. Your use of such integrations is subject to the terms and privacy policies of the respective third-party providers. We are not responsible for:
- The availability, performance, or reliability of third-party services
- Changes to third-party service terms, policies, or functionality
- Data security or privacy practices of third-party providers
- Costs or fees associated with third-party services
- Disputes between you and third-party service providers
7. Content Ownership and Intellectual Property
7.1 Your Content Rights
- You retain all ownership rights to content you create, upload, or store in PANote
- You are solely responsible for ensuring you have rights to any content you input into the Service
- You represent that your content does not infringe upon the intellectual property rights of others
- You maintain the right to download, export, and delete your content at any time
- Termination of your account does not affect your ownership rights to your content
7.2 Limited License to PANote
By using the Service, you grant PANote a limited, non-exclusive, worldwide, royalty-free license to:
- Store, process, and transmit your content to provide the Service
- Create backups and ensure data redundancy for service reliability
- Process your content through AI systems for feature functionality
- Share your content with third-party services you have authorized for integration
- Use aggregated, anonymized content data for service improvement and analytics
This license terminates when you delete content or terminate your account, except for content that has been shared publicly or content retained in system backups for a reasonable period.
7.3 PANote Intellectual Property
- The Service, including software, design, text, graphics, and other content, is owned by PANote
- Our trademarks, service marks, and logos are protected intellectual property
- You may not copy, modify, distribute, sell, or lease any part of our Service
- You may not reverse engineer or attempt to extract the source code of our software
- Any feedback or suggestions you provide may be used by us without compensation or attribution
7.4 AI-Generated Content
Content generated by AI features becomes part of your content, subject to the following considerations:
- You are responsible for reviewing and editing AI-generated content before use
- AI-generated content may not be eligible for copyright protection in some jurisdictions
- We do not claim ownership of AI-generated content you create using our Service
- You should verify that AI-generated content does not infringe on existing intellectual property
- Commercial use of AI-generated content is your responsibility and subject to applicable laws
7.5 Copyright Infringement
We respect intellectual property rights and expect our users to do the same. If you believe your copyrighted work has been copied in a way that constitutes copyright infringement, please contact us at pan@panote.net with detailed information about the alleged infringement.
8. Privacy and Data Protection
Your privacy and data security are fundamental to our Service. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference and forms an integral part of this Agreement.
8.1 Data Processing Consent
By using the Service, you consent to the processing of your personal data and content as described in our Privacy Policy and as necessary to provide Service functionality.
8.2 International Data Transfers
The Service may process and store data in multiple countries. By using the Service, you consent to the transfer of your data to countries outside your residence, including countries that may have different data protection standards.
8.3 Data Security
We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
8.4 Data Retention
We retain your data for as long as necessary to provide the Service and as described in our Privacy Policy. You may request deletion of your data at any time, subject to legal and operational requirements.
9. Mobile Application Terms
9.1 App Store Compliance
The PANote mobile application is distributed through official app stores (Apple App Store, Google Play Store) and is subject to their respective terms and policies in addition to these Terms.
9.2 Device Requirements
- The app requires compatible iOS or Android devices with minimum system requirements
- Certain features may require specific device capabilities (camera, microphone, internet connectivity)
- Performance may vary based on device specifications and available storage
- We recommend keeping your device operating system updated for optimal security and performance
9.3 App Permissions
- The app may request various device permissions to provide full functionality
- You can modify permission settings through your device's system settings
- Denying certain permissions may limit app functionality
- We only request permissions necessary for legitimate Service features
9.4 Updates and Maintenance
- We may release updates to improve functionality, security, and user experience
- Some updates may be automatic while others require manual installation
- Continued use of outdated app versions may result in reduced functionality or security risks
- We may discontinue support for older app versions with reasonable notice
9.5 Offline Functionality
The app provides certain offline capabilities, but full functionality requires internet connectivity. Data created offline will synchronize when connectivity is restored, subject to any conflicts or technical limitations.
10. Service Availability and Maintenance

- We strive to provide reliable, continuous service but cannot guarantee 100% uptime
- Service availability may be affected by maintenance, updates, technical issues, or external factors
- We may temporarily suspend the Service for scheduled maintenance with reasonable notice when possible
- Emergency maintenance may be performed without advance notice when necessary for security or stability
10.2 Third-Party Dependencies
Service functionality depends on various third-party providers (cloud infrastructure, AI services, integration partners). Disruptions to these services may temporarily affect PANote functionality.
10.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for significant changes that materially affect functionality.
10.4 Data Backup Responsibility
While we implement backup systems to protect your data, you are responsible for maintaining your own backups of important content. We recommend regularly exporting your data and maintaining local copies of critical information.
11. User Obligations and Responsibilities
11.1 Account Maintenance
- Maintain accurate and current account information
- Promptly update your contact information when changes occur
- Monitor your account for unauthorized activity and report issues immediately
- Use strong, unique passwords and enable available security features
- Comply with usage limits and fair use policies
11.2 Content Responsibility
- Ensure all content you create or upload complies with applicable laws and these Terms
- Respect intellectual property rights and obtain necessary permissions for third-party content
- Maintain appropriate backups of important content
- Review and validate AI-generated content before using it for important purposes
- Report inappropriate content or Terms violations you encounter
11.3 Technical Compliance
- Use the Service only through provided interfaces and approved methods
- Keep your app and browser updated for security and compatibility
- Do not attempt to circumvent security measures or access restrictions
- Report security vulnerabilities or technical issues responsibly
- Comply with rate limits and usage guidelines
11.4 Legal Compliance
You are responsible for ensuring your use of the Service complies with all applicable laws, regulations, and industry standards in your jurisdiction, including but not limited to data protection, privacy, export control, and professional conduct requirements.
12. Platform Rules and Community Guidelines
12.1 Respectful Use
- Treat other users, support staff, and the Service with respect
- Do not use the Service to harass, threaten, or intimidate others
- Respect others' privacy and do not share personal information without consent
- Use collaborative features constructively and professionally
12.2 Content Standards
- Do not upload, share, or create content that is illegal, harmful, or offensive
- Avoid content that promotes violence, hatred, or discrimination
- Do not share false or misleading information
- Respect intellectual property and do not infringe copyrights or trademarks
- Maintain professional standards when using the Service for business purposes
12.3 Resource Usage
- Use the Service fairly and do not abuse system resources
- Do not create excessive load on our servers or infrastructure
- Respect storage limits and data usage guidelines
- Do not use automated systems to interact with the Service without permission
12.4 Enforcement Actions
Violations of platform rules may result in warnings, temporary restrictions, content removal, account suspension, or permanent termination, depending on the severity and frequency of violations. We reserve the right to take appropriate action at our sole discretion.
13. Termination Procedures
13.1 Voluntary Termination
- You may terminate your account at any time through account settings or by contacting support
- You should export or backup any content you wish to retain before termination
- Termination does not automatically cancel any outstanding payment obligations
- Some content may remain in system backups for a limited time after termination
13.2 Termination by PANote
We may suspend or terminate your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Reasons for termination may include but are not limited to:
- Violation of these Terms or our policies
- Illegal or harmful use of the Service
- Abuse of other users or our support staff
- Security concerns or suspicious activity
- Non-payment of fees (if applicable)
- Extended periods of inactivity
13.3 Effect of Termination
- Your right to use the Service will cease immediately upon termination
- We may delete or disable access to your account and content
- You remain responsible for any outstanding obligations
- Certain provisions of these Terms will survive termination
- You may be entitled to data export during a limited grace period
13.4 Data Retention After Termination
After account termination, we may retain your data for a limited period as required by law, for legitimate business purposes, or to resolve disputes. We will delete your personal data in accordance with our Privacy Policy and applicable legal requirements.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PANOTE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT OR INFORMATION
- WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS
14.2 AI Technology Disclaimers
- AI-generated content is provided without warranty of accuracy, completeness, or suitability
- AI systems may produce biased, incorrect, or inappropriate results
- We do not guarantee the performance or capabilities of AI features
- AI technology is evolving and may have limitations or unexpected behaviors
- You assume full responsibility for verifying and validating AI-generated content
14.3 Third-Party Service Disclaimers
We are not responsible for the availability, accuracy, or reliability of third-party services integrated with PANote. Third-party services are provided by independent companies and are subject to their own terms and limitations.
14.4 Data Loss and Security
While we implement security measures and backup systems, we cannot guarantee that your data will be completely secure or immune from loss. You are responsible for maintaining appropriate backups of important content.
15. Limitation of Liability
15.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PANOTE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT
- DAMAGES RESULTING FROM THE CONDUCT OR CONTENT OF THIRD PARTIES
- DAMAGES RESULTING FROM INTERRUPTION OR CESSATION OF THE SERVICE
- DAMAGES RESULTING FROM AI-GENERATED CONTENT OR RECOMMENDATIONS
15.2 Maximum Liability Cap
TO THE EXTENT PERMITTED BY LAW, PANOTE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT YOU PAID TO PANOTE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
15.3 Exceptions
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.
15.4 Time Limitation
Any claim against PANote must be brought within one (1) year after the cause of action arises, or such claim will be permanently barred.
16. Indemnification
You agree to defend, indemnify, and hold harmless PANote, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right
- Any claim that your content caused damage to a third party
- Your use of AI features and any resulting content or decisions
- Your integration with or use of third-party services through PANote
This defense and indemnification obligation will survive these Terms and your use of the Service.
17. Dispute Resolution
17.1 Informal Resolution
Before pursuing formal dispute resolution, we encourage you to contact us directly at pan@panote.net to resolve any issues informally. We are committed to working with users to resolve concerns fairly and efficiently.
17.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.
17.3 Arbitration Process
- Arbitration will be conducted by a neutral arbitrator in accordance with applicable arbitration rules
- The arbitration will take place in a mutually agreed upon location or via video conference
- Each party will bear their own attorney's fees and costs unless otherwise determined by the arbitrator
- The arbitrator's decision will be final and binding on both parties
17.4 Class Action Waiver
You agree that disputes must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
17.5 Exceptions to Arbitration
Either party may seek injunctive relief in court to protect intellectual property rights or to enforce confidentiality obligations without first engaging in arbitration.
18. Governing Law and Jurisdiction
These Terms and any action related thereto will be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws provisions.
For any disputes not subject to arbitration, you and PANote agree to submit to the personal and exclusive jurisdiction of the courts located in Singapore.
If you are accessing the Service from outside Singapore, you acknowledge that these Terms are governed by Singapore law and you consent to the jurisdiction specified above for dispute resolution.
19. Mobile App Store Requirements
19.1 App Store Terms
If you download the PANote app from the Apple App Store or Google Play Store, your use is also subject to the applicable app store terms of service. In case of conflict between these Terms and app store terms, the app store terms will prevail for app store-related matters.
19.2 Third-Party Beneficiary
Apple and Google are third-party beneficiaries of these Terms as they relate to your use of the mobile app downloaded from their respective stores. They have the right to enforce these Terms against you as third-party beneficiaries.
19.3 App Store Liability
- Apple and Google are not responsible for the app itself, its content, maintenance, or support
- Any claims related to the app should be directed to PANote, not the app store provider
- App store providers have no warranty obligations regarding the app
- Product liability claims are handled by PANote, not the app store provider
19.4 Platform-Specific Features
Certain features may be available only on specific platforms (iOS or Android) due to technical limitations or platform policies. We strive to maintain feature parity but cannot guarantee identical functionality across all platforms.
20. Updates and Modifications to Terms
20.1 Right to Modify
We reserve the right to modify these Terms at any time in our sole discretion. When we make changes, we will update the "Last updated" date at the top of these Terms and take reasonable steps to notify users of material changes.
20.2 Notification of Changes
- Material changes will be communicated through the app, email, or prominent website notice
- Minor changes may be posted without additional notification
- We may provide advance notice for significant changes when practical
- It is your responsibility to review these Terms periodically
20.3 Acceptance of Changes
Continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
20.4 Version Control
We may maintain previous versions of these Terms for reference purposes. The current version posted on our website governs your use of the Service.

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and PANote regarding the Service and supersede all prior agreements and understandings.
23.2 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
23.3 Waiver
No waiver of any term or condition of these Terms will be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms does not constitute a waiver of such right or provision.
23.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.
23.5 Survival
The following sections will survive termination of these Terms: Content Ownership, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive.
23.6 Force Majeure
We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, epidemics, government actions, or third-party service failures.
Acknowledgment
By downloading, installing, accessing, or using PANote, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. You represent that you have the legal authority to enter into this Agreement and that your use of the Service will comply with all applicable laws and regulations.
These Terms are effective as of the date last updated above and will remain in effect until terminated in accordance with the provisions herein.
